election of directors and other matters that were voted on at its annual
meeting of shareholders, which was held virtually on May 27, 2020. Among other
highlights, the company reported that the eight nominees proposed by management
for election as directors were successfully elected by the shareholders through
a mixture of votes by proxy and electronic poll. Other matters that were
approved by the shareholders during the meeting include the appointment of KPMG
LLP as the auditors of the company; the compensation of the company’s named
executive officers, on a non-binding advisory basis, commonly referred to as a
“Say-on-Pay” vote; and, on a non-binding advisory basis, the shareholders
selected every three years as the favored rate of holding future non-binding
advisory votes on the compensation of the company’s named executive officers.
